What is a Qualified Opportunity Zone?
An Opportunity Zone is a low-income census tract designated by each state and certified by the IRS under the 2017 Tax Cuts and Jobs Act. Investors who reinvest capital gains into a Qualified Opportunity Fund within 180 days can defer and potentially reduce the tax on those gains. What tax benefits does an Opportunity Zone investment provide?

Third, and most significant: if you hold the QOF investment for at least 10 years, any appreciation on the new investment itself is permanently excluded from federal capital gains tax.
What investments qualify for Opportunity Zone treatment?
Gains must be reinvested into a Qualified Opportunity Fund, which is a partnership or corporation that self-certifies with the IRS by filing Form 8996. The QOF must hold at least 90% of its assets in Qualified Opportunity Zone property, meaning newly issued stock or partnership interests in an OZ business, or tangible property used in an OZ business that was purchased after 2017. Existing real estate or businesses already operating in the zone generally do not qualify without substantial improvement.
What are the main risks of Opportunity Zone investing?
The 10-year hold requirement creates significant illiquidity: capital is locked up with no guarantee of a sale or distribution. Individual zones vary enormously in development potential; not all designated tracts have appreciated. QOF quality varies widely since these are private funds with limited regulatory oversight.
